Aims & Objectives

1. Name: The name of the Association is “GUWAHATI MOTOR-PARTS TRADERS ASSOCIATION.”
2. Registered Office: The Registered Office of the Association will be situated at Guwahati in Assam.
3. Objects:- The Objects for which the Association is established are:-

(a) To promote, further and protect the interest of the Automotive trade in general and business in spare parts and accessories in particular.

(b) To promote co-operation among persons, firms or Companies connected with the motor parts trade and industry in India whether as manufacturers, importers, exporters or wholesale or retail dealers or as persons interested in the sale, repair, servicing, insurance or hire of motor vehicles and motor parts with a view to their adopting a common policy and collectively taking such steps as may be deemed necessary or expedient to further and safeguard the interest of the trade and industry.

(c) To regulate and standardise as far as possible discounts, rebates, guarantee, service contracts and other business practices in the motor and allied trades and industries.

(d) To promote and safeguard the interest of the Indian Motor Trade and Industry in all its branches and by all possible means and in particular by

  1. providing a meeting place with facilities for the exchange of views of members and others interested in the trade and industry
  2. providing facilities for communication, coordination of interests, or co-operation with similar or allied association or societies in other countries
  3. arranging and providing facilities for conferences, exhibitions, demonstrations, lectures, excursions and other functions relating to the motor and allied trades and industries
  4. establishing, equipping and maintaining a suitable experimental laboratory and library for the benefit of the members and if possible for the general public
  5. investigating, collecting and circulating information and statistics relating to the trade and industry
  6. educating the general public by all suitable means in the benefits and utility of motor vehicles from the social, business, industrial, educational and entertainment points of view and
  7. providing facilities and machinary for settlement of disputes by arbitration.

(e) To promote and protect the interests of the motor and motor parts trade and industry in any or all of their branches and of those engaged or interested therein including the interests of manufacturers, importers and dealers, whether wholesale or retail and other persons iterested in the manufacture, sale, repair, hire, servicing or insurance of all manners of motor vehicles, motor goods and such apparatus and appliances and accessories and goods and articles useful or ancillary to the purposes of the said trade and industry and to do everything necessary or expedient for all or any of these purposes including the negotiations and carrying through of amalgamations of anyconcerns interested in the trade and industry; the constituting of management and winding up of any club or clubs, social or other, for those engaged or interested in the motor trade and industry; and the obtaining of special acts or charters or licences or other constitution or authority requisite or expedient for the said purposes or any of them.

(f) To enter into any arrangements with the Government of India or any Foreign or Local Government, Indian State, Ruling Prince, Chambers of Commerce, Municipality, Local Board, or any other public or private authorities that may seem conducive to all or any of the objects of the Association.

(g) To represent officially the views of the members on any matters affecting or likely to affect the motor trade and industry to the Government of India, Local Government, Foreign Governments, Chambers of Commerce and any other public or private authority.

(h) To promote or oppose legislative or other measures affecting the motor trade and industry.

(i) To publish an official Journal of the Association giving prominence to its aims, objects and activities and for the spread of the knowledge and information relating to the motor trade and industry generally and to print and publish any advertisements, newspapers, periodicals books, lectures or leaflets that may be deemed desirable.

(j) To make and from time to time alter, revoke, re-enact and enforce rules and bye-laws for the benefit of and binding on the association and/or its members and if and so far as may be requisite or expedient, to apply for statutorv powers for the making, passing, and enforcement of rules or bye-laws binding upon those interested in the motor trade and industry.

(k) To commence, prosecute, appear in, defend, compromise or give up all and every manner of proceedings, civil, criminal or administrative, or any arbitration or enquiry or proceedings before any commission, for the protection or assistance of any member of the Association or for otherwise furthering the purposes of the Association or any of them.

(l) To purchase, take on lease or in exchange or otherwise acquire any movable or immovable property, rights of privileges which may be deemed necessary or convenient for any of the purposes of the Association and in particular to subscribe to acquire and hold shares in any company or Association whether incorporated or not, having objects altogether or in part similar to those of this Association.

(m) To sell, improve, manage, develop, lease, mortgage, charge, pledge, hypothecate, dispose of or otherwise deal with all or any of the property, rights or privileges of the Association and to construct, maintain, keep in repair and alter any houses, buildings, garages, or works, necessary or convenient for the purposes of the Association and to pull down or demolish any buildings, garages or works not required for purposes of the Association.

(n) To take any gift or property subject to any trust or not, for any one or more of the objects of the Association.

(o) To take any such steps by personal or written appeals or otherwise as may from time to time be deemed expedient for the purpose of procuring contributions to the funds of the Association, in the shape of donations, annual subscription or otherwise.

(p) To borrow or raise or secure the payment of money which may be required for the purposes of the Association in such manner as the Association may think fit and in particular by the issue of promissory notes, bonds, debentures or debenture stock, perpetual or otherwise charged upon all or any of theAssociation’s property, both present and future and to purchase, redeem and pay off any such securities or loans in such manner as the Association may think fit.

(q) To invest and otherwise deal with the moneys of the Association in such manner as may from time to time be determined by the Committee (except the Reserve Fund made up of the entrance fees, which shall only be expended with the sanction of the general body) and to open and operate on savings, current or fixed deposit accounts with any bank or banks.

(r) To draw, make, accept, endorse, discount, execute and issue promissory notes, bills of exchange, bills of lading, railway receipts, warrants, debentures and other negotiable or transferable Instruments or securities.

(s) To provide for the welfare of the employee or employees of the Association and the wives, widows and families or the dependents or connections ofsuch persons and to give award or allow any pension, gratuity, compensation, grant of money, allowances bonus or other payment to or for the benefit of such persons, whether they have or have not a legal claim upon the Association and in particular to provide for the welfare of such persons by creating and from time to time subscribing or contributing to provident or other funds or trusts, and by providing or subscribing or contributing towards places of instruction and recreation, hospitals and dispensaries, medical and other attendance and assistance, and to contribute to charitable, benevolent or useful objects of a public character, the support of which will tend to increase the repute or popularity of the Association among its members or the public.

(t) To establish and maintain branches and to promote autonomous bodies with aims similar to that of the Association or to affiliate with other similar bodies on an all India basis and on such terms as the Association in general meeting may deem suitable or expedient and to control regulate the policy, work and business of any such branches and affiliated bodies by rules regulations or bye-laws from time to time to be made or varied by the Association in general meeting and to federate with other Associations or bodies having objects altogether or in part similar to those of the Association on such terms and conditions as the Association in general meeting may deem fit.

(u) To assign to any member or class of members any preferential special or qualified rights or privileges over or as compared to any other members as regards voting or otherwise howsoever.

(v) To enact laws or bye-laws or resolutions in the matter of purchase or sale of motor merchandise and in short to overcome any difficulty in furthering the motor trade and to see that these laws, bye-laws or resolutions are respected.

(w) To enact laws, bye-laws or pass resolutions to protect and increase the trade interests in relation to members dealing with factories, manufacturers, shippers, manufacturers’ representatives, merchants, members etc. and to see that these are enforced.

(x) To devise means to take steps in deciding disputes between members of Association or between members and other merchants, manufacturers, shippers, commission agents, indent houses or such other outside party institution, in relation to trade and also with landlords of place occupied by members in connection with rent etc., and to enforce such decision on members and to penalise those who act contrary to such decisions.

(y) To protect members from fradulent transactions or being duped by any individual firm, corporation or persons and to assist members in recovering and collecting their dues from their clients, and to attain the above objects, to invite information from members about defaulters or bad paymasters, to maintain list of such defaulters, to circulate such information to members from time to time and ask members to stop dealing with any or all of such defaulters for such times as may be necessary and to take hence-forth such other steps as may be necessary.

(z) To amalgamate with any company. Institution or Association having objects altogether or in part similar to those of this Association.

(zi) To transfer all or any part of property, assets, liabilities and engagements of this Association to any one or more of the Companies, Societies or Association with which this Association is authorised to amalgamate.

(zii) And generally to do all such other things as may be deemed incidental or conducive to the attainment of the above objects or any of them.

4. The income and property of the Association whencesoever derived shall be applied solely towards the promotion of the objects of the Association as set forth in this Memorandum of Association and no portion thereof shall be paid or transferred directly or indirectly by way of bonus or otherwise howsoever by way of profit to the members of the Association, provided that nothing herein shall prevent thp payment in good faith of remuneration to any officers or servants of the Association or to any member of the Association or other persons in return for any services actually rendered to the Association.

5. Every member of the Association undertakes to contribute to the assets of the Association in the event of its being wound up while he is a member, or within one year afterwards, for payment of the debts and liabilities of the Association contracted before he ceased to be a member and of the costs, charges and expenses of winding up and for adjustments of the rights of the contributories among themselves such amount as may be required, not exceeding in case of each member Rs. 500/- (Rupees Five Hundred only).

6. In case of winding up or dissolution of the Association, which can be done only by the extraordinary resolution passed by 75 percent of the members on the register present and duly confirmed by a special resolution passed by 75 percent of the members on the register present, the assets of the Association shall be disposed of in the following manner after meeting all liabilities. All liabilities shall be first satisfied from the general fund, and if the general fund is not sufficient the reserve fund shall be drawn upon to the extent legally obligatory. The whole of the balance of the general fund if any, after satisfaction of liabilities, shall be handed over to some other body or bodies with aims similar to the Association, as the general body deem fit, and in default thereof by such judge of the High Court in Assam as may have or acquire jurisdiction in the matter.

7) True accounts shall be kept of the sums of money received and expended by the Association and the matter in respect of which such receipts and expenditure take place and of the property, credits and liabilities of the Association and subject to any reasonable restrictions as to the time and regulations of the Association for the time being shall be open to the inspection of the members.
